About these terms
These terms apply when you use this website and when you buy services from Headway Design (“we”, “us”). Your written quote or proposal sits alongside them. If the two ever disagree, the quote or proposal wins.
By accepting a quote, or by using this website, you agree to these terms.
Using this website
Everything on this site, including the journal, is general information, not professional, legal or financial advice. We work to keep it accurate, but prices, services and articles can change, and examples on the site may be illustrative.
Please don’t copy the site’s content or design for commercial use, try to disrupt the site, or use it for anything unlawful. If we link to other websites, we’re not responsible for their content or policies.
Quotes and getting started
- After a free kick-off video call, arranged by email, we send a written quote covering scope, price and timeline.
- Quotes are valid for 30 days unless they say otherwise.
- Work starts once you accept the quote in writing (a reply by email is fine) and any deposit has been paid.
Prices, taxes and payment
All prices are in Canadian dollars and exclude applicable sales taxes (such as GST/HST or PST), which are added to invoices where required.
- Custom website builds: 50% deposit to book your project, and the remaining 50% before the site goes live.
- Website Audit: paid in full when booked.
- Care Plan: billed annually in advance, with a 12-month minimum term. The website build is included.
- Search Boost: billed quarterly in advance. Available on Care Plan websites only.
- Social & Ads: billed monthly in advance, with a 3-month minimum term, then month to month.
- Add-ons and agency builds: as set out in your quote.
Invoices are due within 14 days. If an invoice is overdue, we may pause work until it’s paid, and we’ll tell you before we do.
Third-party costs and ad spend
Some costs are paid directly to other companies and aren’t part of our fees. We’ll always flag them before you commit. They may include:
- advertising spend, which is paid from your own ad accounts directly to the platforms;
- domain names, website builder or hosting subscriptions where they’re in your name;
- premium plugins, fonts, stock images or apps;
- online shop and payment-processing fees.
Your part
Good projects are a team effort. You agree to:
- provide content, information and feedback in reasonable time;
- give us access to the accounts we need, and keep them in your business’s name;
- make sure you have the right to use any text, images, logos or other material you send us;
- check and approve work before it goes live.
If content or approvals are delayed, timelines may move, and very long pauses may need rescheduling.
Changes to scope
Your quote sets out what’s included, including rounds of revisions where relevant. If you’d like something outside the agreed scope, we’ll quote it before doing the work, so there are never surprise invoices.
Video calls and communication
Email is our main way of communicating and the only way to contact us. Kick-off and check-in calls take place over video and are arranged by email. We won’t record a call without asking first.
Timelines
Timelines in quotes are our honest estimates based on the agreed scope. We’ll keep you updated and tell you straight away if anything is likely to slip.
Ownership
- Your accounts and data are always yours. That includes your domain, social media and ad accounts, and your content and customer data.
- Once paid in full, you own the final website design, and the copy, graphics, videos and ad creative we make specifically for you.
- We keep ownership of our pre-existing tools, templates, code snippets and general know-how. You receive a permanent, non-exclusive licence to use them as part of what we deliver to you.
- Third-party assets such as fonts, stock images and plugins remain subject to their own licences.
- Portfolio: we may show finished work in our portfolio and journal. Just tell us if you’d prefer we didn’t.
Until an invoice is paid, the work it covers remains ours.
Ongoing plans and cancellations
- Care Plan: renews annually. To cancel, email us at least 30 days before your renewal date. When a plan ends, we’ll help move your website to you or your new provider.
- Search Boost: cancel any quarter by emailing us before the next quarter is billed.
- Social & Ads: after the 3-month minimum, cancel with 30 days’ notice by email.
- One-off projects: either side may end a project with written notice. You pay for work completed up to that point. The deposit covers time reserved for your project and is non-refundable once work has started.
Results
We work hard to get you results, but we can’t guarantee specific search rankings, followers, sales, leads or ad performance. Platforms change their algorithms, policies and prices, and ad accounts are subject to each platform’s own rules and approval.
Confidentiality
We each keep the other’s confidential information private and use it only for the project. We’re happy to sign a non-disclosure agreement on request. How we handle personal information is explained in our Privacy Policy.
Liability
We provide our services with reasonable skill and care. To the extent the law allows:
- our total liability for any claim is limited to the fees you paid us in the three months before the claim arose;
- we’re not liable for indirect losses such as lost profits, lost data or lost opportunities;
- we’re not responsible for outages, changes or decisions by third-party platforms, hosts or ad networks.
Nothing in these terms limits any liability that can’t legally be limited.
Governing law
These terms are governed by the laws of the Canadian province in which Headway Design operates and the federal laws of Canada that apply there.
Changes to these terms
We may update these terms from time to time. The version in place when you accept a quote applies to that project. The date at the top shows when they last changed.
